In the Island of Guernsey on the 5th day of May 1995 before me Ms. ________, the undersigned Notary Public with legal residence and practice in the said Island duly admitted and sworn:

APPEARING

Mr. ____________, of full age and passport No. ____ and Mr. _________, of full age and passport No. ____, their personal particulars appear from their statements and personal documentation which they show to me and I return to them.

Those appearing act in their respective capacities as Director and duly authorized officer of the Company Secretary of Properties Limited a Company organised and existing under the Laws of the Island of Guernsey.

In order to prove their capacity and the power which they enjoy to represent the said Company as well as the powers of the Company itself the appearers produce to me certified copies of the Certificate issued by Her Majesty’s Deputy Greffier on the 1 February 1991 and the Memorandum and Articles of Association of the said company, together with a certified copy of the Minutes of the Board of Directors held on 4 May 1995.

I transcribe below the pertinent extracts of the said documents nothing omitted herefrom qualifying or limiting the extracts so transcribed.

MEMORANDUM OF ASSOCIATION - The objects for which the Company is established are (inter alia):

To purchase or otherwise acquire, for any estate or interest, and hold, property and rights of all kinds, and whether movable or immovable, legal or equitable, and in particular (but without prejudice to the generality of the foregoing) lands, buildings, easements, mortgages, produce, plant, machinery, tools, vehicles, chattels, materials, concessions, options, contracts, annuities, policies, book debts, business concerns and undertakings and claims, privileges and chooses in action of all kinds.

TRADUCCIÓN JURADA AL ESPAÑOL

En la Isla de Guernesey, en fecha 5 de mayo de 1995, ante mí, Dña. ________, la Notaria abajo firmante, con residencia legal y ejercicio en la citada Isla, habiendo sido debidamente nombrada y habiendo prestado debido juramento:

COMPARECEN

El Sr. __________mayor de edad, provisto de pasaporte número ____, y el Sr. __________, mayor de edad, provisto de pasaporte número ____, constando sus circunstancias personales de sus declaraciones y de su documentación personal que exhiben y retiran.

Actuando respectivamente en calidad de Administrador y representante debidamente autorizado de la sociedad Secretary of Properties Limited, una sociedad constituida y existente al amparo de las leyes de la Isla de Guernesey.

Al objeto de probar su capacidad y las facultades de las que disfrutan para la representación de la citada sociedad, así como la propia capacidad de esta última, los comparecientes me presentan copias certificadas del Certificado emitido por el Secretario Judicial Adjunto de su Majestad en fecha 1 de febrero de 1991, así como de la Escritura de Constitución y de los Estatutos de la referida sociedad, juntamente con una copia certificada del acta de su Consejo de Administración celebrado en fecha 4 de mayo de 1995.

A continuación transcribo los extractos correspondientes de los citados documentos sin omitir ningún fragmento de forma que restrinja ni limite los extractos transcritos.

ESCRITURA DE CONSTITUCIÓN – El objeto social para el que la sociedad ha sido constituida es (entre otros):

La compraventa o adquisición por cualquier otro título de cualquier bien inmueble o derecho, así como la posesión de bienes y de cualquier otro tipo de derecho sobre bienes muebles o inmuebles, de naturaleza legal o derivada del derecho de equidad y, en concreto (aunque a título meramente enunciativo y no limitativo), sobre solares, edificios, servidumbres, hipotecas, producciones, plantas, maquinaria, herramientas, vehículos, enseres, materiales, concesiones, opciones, contratos, censos, pólizas, pasivos, negocios, empresas y concesiones, privilegios y bienes inmateriales de todo tipo.
